Highlights

This seminar aims to give accounting professionals an introduction to the legal aspects of M&A transactions, and will cover the work involved in typical stages of an M&A transaction. We will discuss common areas of concern in legal due diligence, how due diligence findings are reflected in legal agreements, and provide an overview of common contractual mechanisms in transactional documents, including conditions to closing and payment mechanisms.

This seminar will, in particular, examine those aspects of terms and conditions that accounting professionals are often asked to review and comment on in transactional work, such as accounting-related representations, warranties and indemnities.

The speaker is a member of the Deloitte Legal Hong Kong team, and frequently works together with accounting and finance professionals in assurance, financial advisory, tax and other specialties as part of multi-disciplinary teams on various corporate and commercial matters. This seminar is tailored towards accounting professionals who are interested in learning more about M&A transactions from a holistic perspective, and to strengthen their professional skills and knowledge as transaction advisers.

Mr Kenneth Lee, Counsel, Chan & Jamison LLP (Deloitte Legal)

Kenneth is an attorney whose practice covers the span of core Deloitte Legal global service offerings, including Corporate/M&A, Contracting and People/Employment Law. Kenneth has extensive experience in handling and advising on general commercial and corporate finance transactions, including public and private mergers and acquisitions, fundraising as well as general compliance matters. 

Kenneth is Counsel at Chan & Jamison LLP - a member of Deloitte Legal*. Prior to joining Deloitte, Kenneth worked at the corporate and M&A groups of several global U.S. and U.K. headquartered law firms. He has also worked at the Listing Division of the Hong Kong Stock Exchange and at a U.S. private equity fund.

Kenneth is admitted to practice law in New York, USA (2011) and Hong Kong (2017). He holds Juris Doctor, MBA and B.Sc.(Hons.) degrees from the University of Toronto, Canada.
