Further to the Hong Kong Stock Exchange issuance of consultation conclusion on the review of the Corporate Governance Code (CG Code) in Dec 2021, the new requirements of the CG Code have come into effect for listed companies with financial year commencing on or after 1 Jan 2022.  Among the requirements, corporate culture is a newly added element where listed companies are required to disclose their cultural practices based on the “Comply or explain” requirement.  Besides, HKEx has also set out the scope of disclosure in its Corporate Governance Guide for Boards and Directors that stakeholders would expect for listed companies’ reference.  Unlike internal control procedures in business processes that can be substantiated with identifiable attributes and actions, culture is usually implied and referred to as “unwritten ground rules” in an organisation.  How should the board establish the desired corporate culture? How many types of culture are there? How to assess and monitor culture?
