London CFE, DMS, FCMI, MIMC, MIoD Date : 18 November 2016 (Friday) Time : 7:00pm - 9:00pm (Registration starts at 6:30pm) Venue : Auditorium, 1/F., Duke of Windsor Social Service Building, 15 Hennessy Road, Wanchai, Hong Kong Language : Cantonese (no simultaneous translation) CPD Credit : 2 hours Fee : HK$100- About the Seminar: As more and more corporate scandals are exposed whether by regulators or other interested parties it is now common place for the Audit Committee of the day to organize and supervise an independent review committee to look into allegations of fraud or illegality with a view to finding out the facts and recommending positive remedial actions including legal action to recover stolen assets and to prevent future loss. The objective of this seminar is therefore to consider: A. Practical and legal considerations affecting the function and operation of an independent committee to investigate allegations of fraud and illegality from the prospective of a company director; an auditor and a member of the Audit Committee. B. The common law principles governing the fiduciary duties of a company director , in the prevention and detection of fraud, protection of assets and recovery of stolen assets and related litigation issues. C. Duties and responsibilities of members of Audit Committee in the context of fraud risk management as an essential element of enterprise risk management framework. D. How to conduct effective independent internal investigation by the Audit Committee or an ad hoc Independent Committee by reference to recent cases such as Sino Forest and Olympus and selected PRC companies listed in USA, Canada Singapore, Hong Kong and PRC. About the Speaker: Mr C.K. Cho was one of the original recruits for the Hong Kong Independent Commission Against Corruption (ICAC), where he investigated corruption, fraud and related offences, working his way up to become a Chief Investigator. Since 1974 he has conducted many complex fraud and corruption investigations, receiving commendations for his outstanding performance. In 1991, soon after he was qualified as a Barrister of HK and UK, CK was appointed Head of Legal Research and Management Services Unit where he was responsible for designing a fraud risk management program with internal control policies and procedures relating to human resources management, corporate security, personal data privacy and investigation of internal complaints. Since retiring from the ICAC in 2000, CK has served as adviser on legal and compliance matters for listed and public companies in Hong Kong and London. In addition to his providing in-house legal advisory work, he specializes in fraud investigation, litigation support, corporate governance and crises management. CK also lectures at Universities in Hong Kong and Mainland China and conducts training for companies and professional organizations in Hong Kong and South Asia including AFD, HKICPA, ACCA /Singapore and Malaysian Institute of Accountants.

For those who have not attended full session, the number of CPD hours will be discounted accordingly.
