About the seminar: During the financial crisis, the global economy suffered a devastating economic collapse. Once valuable securities lost most or all of their value, debt market froze, many good businesses shut down, and a number of listed company’s share price volatile and trading of which was suspended in the Stock Exchange. The speakers will discuss on the practice and implementation of a restructuring plan on a distressed HK listed company, which involves formulation of a restructuring plan, application for resumption of trading of the company's shares on the HKEx, and haircut on the Company's debts by way of Scheme of Arrangement. In this seminar, Mr. Derek Lai will discuss: 1. The reasons why the said HK listed company became distressed; 2. The key stakeholders that are involved in the debt restructuring and resumption of trading; 3. What Deloitte did and accomplish In this seminar, Mr. Patrick Yeung will discuss: 1. Stock Exchange rules and practice in relation to financially distressed listed companies; 2. How white knights can come about; 3. Roles of financial advisers like Asian Capital About the speakers: Mr. Derek Lai is the Deputy National Leader in Financial Advisory Services, Asia Head of the Restructuring Services and an executive director of Deloitte & Touché Financial Advisory Services Limited. He has specialized in corporate restructuring and insolvency in Hong Kong for over 22 years. Derek has substantial insolvency experience and has worked on receivership, liquidation, corporate restructuring and closure management engagements involving entities incorporated in Hong Kong, China and various other international jurisdictions. Derek is the Past President (2006/07) and a current councillor of CPA Australia Hong Kong China Division. Derek currently is an Adjunct Professor in the School of Accounting and Finance at The Hong Kong Polytechnic University. He frequently contributes articles in newspapers and books on the topics of liquidations, bankruptcies and receiverships in Hong Kong and the Chinese mainland. He is also a frequent speaker on related topics for numerous courses organised by universities and professional organisations. Mr Patrick Yeung is the Executive Chairman of Growth Enterprise Market (GEM) listed Asian Capital Holdings Limited, which provides corporate finance advisory services to HK listed companies. He has served the accounting profession for almost 3 decades: was CIMA Hong Kong’s President, then a Council Member of the Hong Kong Institute of Certified Public Accountant (HKICPA). He was the President and currently a councillor of CPA Australia Greater China Division as well as a Representative Councillor of CPA Australia. He remains a Panel B member of HKICPA’s disciplinary committee. Mr Yeung was appointed by the Hong Kong SAR Government as a Member of the Insider Dealing Tribunal, two Investment Advisory Committees and the Advisory Committee for Travel Agents. He is a Member of the Advisory Boards of three universities in Hong Kong and chairs the Advisory Committee on Accounting and Finance of The Hong Kong Polytechnic University, where he is also an Adjunct Professor. Mr Yeung was the Treasurer and Member of the Council and Court of Lingnan University, and was awarded an Honorary Fellow by Lingnan University in 2008.

Seat Accommodation: Please note that seats accommodation for accepted participants will be reserved until 15 minutes after the seminar starts. Seats may not be available for participants who are late for over 15 minutes. CPD Hours: For those participants who have not attended the full session, the number of CPD hours will be discounted according to the actual time of attendance.
